Welcome to CH GlobeXmart LLC (“CH GlobeXmart,” “we,” “us,” or “our”). These Terms & Conditions (the “Terms”) govern your access to and use of our website(s), landing pages, forms, communications and any online tools and services we make available (collectively, the “Services”).

1) Acceptance of These Terms

By accessing or using the Services (including by submitting forms, booking calls, signing up for communications, or clicking “accept/agree” when prompted), you agree to be bound by these Terms. If you do not agree, do not use the Services.

2) Eligibility

You must be at least 18 years old (or the age of majority where you live) and, when acting for a company, authorized to act on its behalf. The Services are not intended for children under 13.

3) Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted with a revised “Last updated” date. Your continued use of the Services after changes means you accept the updated Terms.

4) Our Services

CH GlobeXmart helps international manufacturers and brands enter and operate in the United States. Our services may include (without limitation): U.S. market strategy and business planning; setup and optimization of sales channels such as Shopify, Amazon, Walmart Marketplace and TikTok Shop; marketing and growth (content, creators, paid advertising and conversion optimization); coordination of import, logistics and fulfillment with third-party providers; and monthly operation and reporting.

The specific scope, deliverables, fees and timelines of any engagement are defined in a written proposal, statement of work (“SOW”) or contract. Information on this website is general and does not constitute an offer.

No guarantees. Results depend on many factors outside our control (e.g., product, pricing, budgets, platform algorithms and policies, seasonality, competition, inventory, regulatory approvals and logistics). We do not guarantee specific outcomes such as sales, leads, rankings, ROAS, revenue or approvals by any marketplace or government agency.

4.1 Third-Party Platforms and Providers

Our Services may integrate with or depend on third parties (e.g., Amazon, Walmart, Shopify, TikTok, Google, Meta, GoHighLevel, payment processors, carriers, U.S. third-party logistics (3PL) warehouses and customs brokers). These third parties have their own terms and policies, which may change without notice. You are responsible for complying with the rules that apply to your accounts and products on those platforms.

4.2 Import, Compliance and Logistics

When we support import, labeling, regulatory or logistics matters, our role is guidance and coordination. We are not a law firm, licensed customs broker or regulatory agency, and nothing on this website or in our communications is legal, customs, tax or regulatory advice. The importer of record and the product owner remain responsible for the accuracy of entry documentation, product classification, duties, taxes, fees and compliance with the requirements of agencies such as U.S. Customs and Border Protection (CBP), the FDA or the CPSC. Where specialized professionals are required, we coordinate with qualified providers.

5) Accounts, Access, and Credentials

Some Services may require you to create accounts (e.g., marketplace or store accounts) or share credentials with us. You agree to provide accurate information and to keep credentials secure. You are responsible for activity under your accounts and for maintaining appropriate access controls. Unless your SOW says otherwise, the accounts created for your brand belong to your company.

We may suspend or terminate access to the Services if we reasonably believe you violated these Terms, applicable laws or platform rules.

By using the Services or providing your contact information, you consent to receive communications from CH GlobeXmart electronically (e.g., email, forms, site notices). You can opt out of promotional emails using the unsubscribe link or by contacting info@chglobexmart.com.

7) SMS and Text Messaging

CH GlobeXmart may send SMS/text messages related to your requests (e.g., appointment confirmations and reminders, follow-ups) when you provide your phone number and consent.

We send text messages only with your consent. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for help.

7.2 Prohibited Uses

You agree not to provide phone numbers you are not authorized to use and not to use our communications to send inappropriate, offensive or illegal content.

7.3 SMS Privacy

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. SMS opt-in data will not be shared except with the providers necessary to deliver the messages. All SMS data is handled consistent with our Privacy Policy.

7.4 Opt-Out

You may opt out at any time by replying STOP (or other standard keywords supported by the provider). Opt-out requests are honored promptly unless you give new consent.

8) User Content, Feedback, and Submissions

If you submit content to CH GlobeXmart (messages, files, product information, briefs, feedback), you represent that you have the right to share it. Unless your SOW says otherwise, you grant CH GlobeXmart a limited right to use submissions to evaluate your request and provide the Services.

If you provide suggestions or feedback about our Services, you agree we may use them without obligation to you.

9) Acceptable Use

You agree not to:

  • violate laws or third-party rights
  • send spam or unsolicited communications through our forms
  • attempt to gain unauthorized access to, scrape, reverse engineer or disrupt the Services
  • upload malware or harmful code
  • misuse the Services for fraud, impersonation or harassment
  • submit false information about yourself, your company or your products

We may suspend or terminate access for violations.

10) Intellectual Property and Deliverables

All website content and CH GlobeXmart branding (logos, site text, design) are owned by CH GlobeXmart or its licensors and are protected by intellectual property laws. You may not use our branding without written permission. Third-party trademarks mentioned on this website (such as Amazon, Walmart, Shopify and TikTok Shop) belong to their respective owners.

Unless your SOW says otherwise:

  • Client deliverables: you own the final paid deliverables we create for your brand (e.g., listings, creatives, copy, strategy documents) upon full payment.
  • CH GlobeXmart materials: we retain ownership of our pre-existing materials, templates, processes, tools and know-how.

11) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” CH GLOBEXMART DISCLAIMS ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CH GLOBEXMART WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICES.

If a court does not allow the above limitation, CH GlobeXmart’s total liability will be limited to the amount you paid CH GlobeXmart for the Services giving rise to the claim in the three (3) months before the event, or $100, whichever is greater (unless your SOW states otherwise).

13) Indemnification

You agree to defend, indemnify, and hold CH GlobeXmart harmless from claims, liabilities, damages, and expenses (including attorneys’ fees) arising from your misuse of the Services, your products, your violation of these Terms, or your violation of laws or platform rules.

14) Termination

We may suspend or terminate your access to the Services at any time if we believe you violated these Terms or applicable laws. Provisions that should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, dispute terms) will survive.

15) Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.

Venue: if a dispute is not subject to arbitration (below) or arbitration is unenforceable, you agree to exclusive jurisdiction and venue in state or federal courts located in Miami-Dade County, Florida.

Arbitration and class action waiver: at CH GlobeXmart’s election, disputes may be resolved by binding arbitration on an individual basis (no class actions). IF YOU AGREE TO ARBITRATION, YOU WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

16) Miscellaneous

  • Entire agreement: these Terms, together with our Privacy Policy and Cookie Policy, and any signed SOW or contract, are the complete agreement regarding the Services.
  • Severability: if part of these Terms is unenforceable, the rest remains in effect.
  • Assignment: you may not assign these Terms without our consent; we may assign them as part of a business transfer.
  • No waiver: failure to enforce a provision is not a waiver.
